Terms and Conditions

1. Acceptance of Terms

By accessing and using Condominium.ug ("the Platform"), you accept and agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree to these terms, please do not use our services. These terms constitute a legally binding agreement between you and Condominium.ug, governed by the laws of the Republic of Uganda.

2. Description of Service

Condominium.ug provides a cloud-based homeowners association (HOA) management platform that enables property owners, residents, and administrators to manage community affairs, payments, communications, and related services. The Platform is provided on an "as is" and "as available" basis.

4. User Accounts and Registration

To use certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and secure
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

5. User Responsibilities

As a user of the Platform, you agree to:

• Use the Platform only for lawful purposes
• Not upload or transmit any harmful, offensive, or illegal content
• Respect the privacy and rights of other users
• Not attempt to gain unauthorized access to the Platform or other users' accounts
• Not use the Platform for any fraudulent or deceptive purposes
• Comply with all applicable laws and regulations of Uganda

6. HOA Administrator Responsibilities

If you register as an HOA Administrator, you additionally agree to:

• Have proper authority to represent and manage the HOA
• Maintain accurate records of all community members
• Handle member data in accordance with our Privacy Policy and applicable data protection laws
• Respond promptly to member inquiries and concerns
• Ensure timely payment of any applicable subscription or service fees

7. Payment Terms

For paid services:

• All fees are quoted in Uganda Shillings (UGX) unless otherwise stated
• Payments are due as specified in your subscription plan
• We accept mobile money (MTN, Airtel), bank transfers, and card payments
• Failure to pay may result in service suspension or termination
• Refunds are subject to our refund policy and may be provided at our discretion

8. Intellectual Property

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, and software, are the exclusive property of Condominium.ug and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

9. Limitation of Liability

To the maximum extent permitted by Ugandan law, Condominium.ug shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from your use or inability to use the Platform. Our total liability shall not exceed the amount paid by you for the service in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or secure. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to indemnify, defend, and hold harmless Condominium.ug, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, violation of these terms, or infringement of any rights of a third party.

12. Termination

We reserve the right to:

• Suspend or terminate your account at any time for violation of these terms
• Discontinue any part of the Platform with or without notice
• Remove any content that violates these terms or applicable laws

Upon termination, your right to use the Platform will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising from these terms or your use of the Platform shall be resolved through arbitration in Kampala, Uganda, in accordance with the Arbitration and Conciliation Act of Uganda. The language of arbitration shall be English.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after changes are posted constitutes your acceptance of the modified terms. We encourage you to review these terms periodically.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
